Article 1 – CONTRACT PARTIES<\/p>\n

The term Customer means any legal or natural person (user, purchaser), who needed the skills of the service provider.<\/p>\n

The term Service Provider refers to the person in charge of the realization of the service, the company : Kim Communication LP.<\/p>\n

The term third parties refers to any third person or entity who doesn’t making part of the sale. This person can intervene in it on demand of the customer or the service provider.<\/p>\n

Article 2 – GENERAL<\/p>\n

These Terms of Sales are intended to define the rights and obligations of parties in the sale of products and services made by the service provider as part of his business of website creation, graphic design, mobile apps and infographist for his customers. The service provider reserves the right to change his terms and conditions, his packs and pricing at any time without notice. If the customer is an individual, he admits to being major according to the laws of the country where he resides.<\/p>\n

The customer making use of the services involved acknowledges having read and fully accepted the following terms and conditions of sale, as well as the warnings contained in the extracts of Act No. 57-298 of 11 March 1957 on the artistic property (OJ of 14 March 1957) to the copyright laws regarding intellectual property. To do this the customer will positively answer to the estimate received, by email, as an electronic signature, or settle a down payment by the payment method that the service provider has proposed. By this way, the customer agrees to approve the terms and conditions. The electronic nature of this signature can not be challenged and the customer must prohibit the access to his mail inbox to persons who can impersonate during the approval of these conditions. By accepting an estimate from the service provider, the customer attests that he unconditionally accepts the terms and conditions.<\/p>\n

Article 3 – CUSTOMER RESPONSIBILITY<\/p>\n

The customer agrees to provide accurate and truthful information and undertakes to inform the service provider of any changes in the datas provided and will be solely responsible for any problems that may result from incorrect information. The customer must maintain an email address valid and must answer to the given phone number. Conventional mail or RAR communication may not be required by the Client.<\/p>\n

Article 4 – COMMITMENTS OF THE PARTIES<\/p>\n

In general, the customer and the service provider shall collaborate to ensure the proper execution of the sale. Everyone is committed to communicating all the difficulties which he knows, to progressively allow the other party to take the necessary measures.<\/p>\n

Article 4-1 – The customer<\/p>\n

To allow the service provider to achieve his mission, the customer will:<\/p>\n

\u2022 Be able to provide to the service provider an exhaustive design brief. The service provider may help the customer in the report of functional specifications and detailed technical with the usual hourly rate. In the opposite case, the estimate will be free in most case.<\/p>\n

\u2022 Read, understand and accept the service proposed by the service provider. Otherwise (in the contrary case), it is the responsibility of the customer to demand details to the service provider on his future mission. If changes involve a implicit substantial reshuffle of the offer or of the design brief, ths changes will be charged in addition to the initial estimate.<\/p>\n

\u2022 Approve the future intervention of the service provider by an email agreement or through the payment of a deposit and therefore approve the sales conditions. The electronic nature of this signature can not be challenged and the Customer must prohibit access to third party who can impersonate to his email inbox when approving this service and therefore these terms and conditions.<\/p>\n

\u2022 Provide all graphical and textual documents necessary for the proper performance of the contract (the documents have to be in an usable formats according to targeted media).<\/p>\n

\u2022 Have the necessary rights to the information provided above. Only the customer’s responsibility will be engaged in this case.<\/p>\n

\u2022 Be reactive and answers promptly to emails sent by the service provider and do everything in his power not to lengthen the approximate delivery time.<\/p>\n

\u2022 Actively work to the project’s success by bringing in the necessary time involved in all information and documents necessary for the proper understanding of the needs and performance of the services.<\/p>\n

\u2022 Adhere strictly to the technical and creative recommendations made by the service provider.<\/p>\n

\u2022 Ensure the service provider against any action that may be brought to him because of the nature of the datas or information (text, images, sounds) that would have been provided or determined by the customer.<\/p>\n

\u2022 Inform the service provider of any competition with other service providers.<\/p>\n

\u2022 In the case of an intervention on a third party server that is not managed by the Service Provider, be able to provide all the necessary accesses to the realization of the mission : at least the login identifiers To the CMS administrator dashboard, to the FTP service and to the MySQL manager (PHPMyAdmin). With these only accesses, the Service Provider can not offer the best rates. In order to guarantee a professional service including the creation of a clone (copy of development) of backups and to reduce the delays in realization and therefore benefit from the best rates of the part of the Service Provider, the Customer will also ensure theses accesses : SSH connection identifier of the user associated with the website targeted by the mission, full access to the web hoster management panel (example: OVH manager), access to the control panel of the hosting account (example: cPanel) including access to a file manager and a MySQL data import\/export tool.<\/p>\n

\u2022 Assume the responsibility for the security of the confidential login provided to the customer by the service provider. If the customer gives the confidential login to a third party, the service provider may not be held liable for the damage that it might cause. The customer is free to change his logins \/ passwords (or request for change it) as many times as he wishs upon notification to the service provider.<\/p>\n

\u2022 Make the information request process, files, data for the resumption of the website by another provider if that happen one day, for example, force majeure \/ death of the service provider.<\/p>\n

Article 4-2 – The service provider<\/p>\n

\u2022 The service provider will try to give an approximate delivery time, which will depend on the data transmission speed and \/ or payments from customer.<\/p>\n

\u2022 If necessary, the service provider may intervene in the development of the design brief, together with the customer. This work will be charged to the customer with the usual hourly rate if it exceeds 4 hours of work (development of prototype \/ drawings preview screen).<\/p>\n

\u2022 The service provider ensures that the creations are legally available and are not burdened with rights of third parties, whether salaried or not the provider, for the uses provided for the sale.<\/p>\n

\u2022 He undertakes to inform the customer of the progress of the project.<\/p>\n

\u2022 Under confidentiality and throughout the term hereof and even after their termination for any reason whatsoever, the service provider agrees to keep strictly confidential all information and documents of any nature whatsoever related to the customer, which he could have had access under executing his present mission.<\/p>\n

\u2022 The service provider is committed to respecting the privacy of his customer. The information provided to the service provider and his company will not be sold, rented or shared with third parties.<\/p>\n

\u2022 In case of Internet websites where the service provider is the direct contact between the customer and the Managed Services, the service provider is committed to the extent of feasibility to provide the customer with all data and information for the resumption of its website and \/ or its new competent service provider if the customer requests it: physical files, database and hosting deals concerned: FTP \/ MySQL access, etc.<\/p>\n

\u2022 In case of recurring services such as hosting, the service provider agrees to notify the customer of the termination of his service at least 15 days in advance by email, otherwise the service provider may not require the renewal thereof on explicit agreement of the Customer.<\/p>\n

\u2022 In case of sales where the service provider is in contact with a customer of a customer, so in case of outsourcing, the service provider undertakes not to solicit the Customer’s customer, offering his own services in order to circumvent the customer, and for a period minimum of 3 months after the execution of the mission, purpose of sale, without express permission of the customer.<\/p>\n

Article 5 – OTHER FEES<\/p>\n

\u2022 The majority of the various elements necessary for the realization of the offers are included in the prices. In cases where the sale would generate additional costs not directly included in the offer, such as additional fonts, pictures \/ illustrations from additional image banks, printing costs or additional Web hosting fees, the customer may demand the settlement of these costs through his service provider if he could not pay the fee himself.<\/p>\n

Unless this has been explicitly stated in the offer, the textual content for product realization will be provided by the customer.<\/p>\n

Unless explicitly specified in the offer or in a maintenance package, the terms and conditions which can not exceed one year, the fees for the premium plugin licenses required to update the website have to be paid by the final customer. In the case of licenses that have been paid by the provider during the sale of the website (for example, during the initial development) and in the context of an extended maintenance, a new estimate will be proposed to the customer each year, to establish the new financial conditions which concern the maintenance of the website, in particular as regards the payable extensions necessary for the proper functioning of the said website.<\/p>\n

\u2022 About the hosting of 1 site (ie, 1 domain name), the service provider will offer 3 formulas to the customer:
\n– EasyHoster hosting suitable for lightweight, simple websites (for example, a static site or a WordPress site without special plugins)
\n– “Comfort” formula hosting at 290 \u20ac \/ year on a high performance HyrbridCloud server for more complex sites; 5Gb storage space (support and maintenance level 1)
\n– “Haut de Gamme” formula hosting at 390 \u20ac \/ year on a high-performance HyrbridCloud server for larger complex sites; 10Gb storage space (support and maintenance level 2)
\n– beyond the “Haut de Gamme” offer, additional storage space is charged at the rate of 120 \u20ac \/ year for every 10 Gb of additional space<\/p>\n

Article 6 – ORDER AND PROCEEDINGS<\/p>\n

The deposit payment or quotation payment by the customer acts as the terms of sale agreement. The customer confirms having read and accepted these terms and conditions. The service begins as soon as the payment has been received and validated by the company. If “all inclusive package” containing several elements splittable, the customer can choose to pay his “all inclusive package” for as many times as there are items that can be listed in a separate estimate (4 maximum). The approximate delivery time will depend on the responsiveness of the customer to provide the documents or make the necessary payments when asked. The graphical and textual documents necessary for the proper performance of the contract should be available to the service provider, otherwise the delivery time will be lengthened.<\/p>\n

Article 6-1 Additional information on the procedure established between the service provider and the customer during the implementation of a comprehensive website:<\/p>\n

1. The customer contacts the service provider for advice on the product or the best solution for his project.<\/p>\n

2. The service provider guides the customer to one of his services \/ products while describing him more or less succinctly.<\/p>\n

3. The customer can request a quote for the product of his choice, after having understand the offer, by providing the following information to the service provider: Company Name and Name of Manager, Address, Postcode, City, Telephone, Email, Country, Siret (eg : 987654321), EU VAT (eg : FR98765432100).<\/p>\n

4. The service provider realizes the estimate which will be sent to the customer by email within 5 working days.<\/p>\n

5. The customer accepts the estimate sent to him by an email agreement or deposit payment. This is an agrement to the complete offer that was made to him.<\/p>\n

6. The intervening notes and fixed:<\/p>\n

– An approximate delivery time: the time can vary, for example extended if the customer responsiveness with the service provider.<\/p>\n

– A deadline for settlement or invoices: in case of non-payment at the time specified, the quote and the approximate delivery time expire.<\/p>\n

7. The customer makes payment within 10 working days.<\/p>\n

8. The payment is received and validated by the service provider, the customer receives immediately his paid bill.<\/p>\n

9. The work begins.<\/p>\n

9.1 Although not systematic and if it was established in the financial offer, the customer can receive in some cases a first and unique graphical proposal. It is a “graphic Model” image corresponding to the best graphics preferences that were mentioned by the customer.<\/p>\n

9.2 The customer can critics it and demand changes on the elements of this model unsuitable for him.<\/p>\n

9.3 The service provider makes corrections and sends the second model to the customer;<\/p>\n

9.4 The customer validates the changes and the final model. If this model still does not fit the customer needs, the extra work for every change and every model will be charged the normal hourly rate.<\/p>\n

9.5 The service provider do the HTML \/ CSS integration of the model “image” in the webpages. He adapts it to the content management system in case of the use of a CMS.<\/p>\n

10. The customer receives the product cited in the subject quote: the sale stops nut not for extended working period (eg, server managed services, hosting website …).<\/p>\n

11. Website guarantee after delivery: in certain specific cases, the intervener may include, through his “price offer” a guarantee of smooth operation, included without additional cost and having a limited duration in time (generally, 1 month after delivery). This can only be required by the customer if it has been explicitly mentioned in the price offer that has been accepted. The “valid” aspect of the customer’s claims to the warranty performer is at the sole discretion of the practitioner. The intervener is the sole judge of the interventions included or not in the framework of the guarantee after delivery. Termination of warranty: like a legal guarantee of conformity (like that of a household appliance for example), the guarantee after delivery of the speaker becomes obsolete from the slightest intervention by another technician, professional or amateur, on the product made by the speaker. In the case where the customer wishes to carry out technical interventions by himself or a third party (another professional or an individual) for example: installation of extensions (plugins), updates of CMS or any intervention carried out with the accesses \u00ab administrator “, the guarantee offered by the intervener becomes obsolete. In the case where the customer would like to be hosted by a third company, that is to say have its own web host, the speaker can not offer warranty after delivery. In this situation, the only proposal of the speaker may be to order a pack of hours for technical interventions to perform additional work at the hourly rate.<\/p>\n

12. After-sales service (SAV) for website: in some specific cases, the intervener may include, through its “price offer” after-sales service (SAV) included without additional cost and having a limited time in time (usually, 1 month). This can only be required by the customer if it has been explicitly mentioned in the price offer that has been accepted in advance by the customer. In the case where the customer would like to be hosted by a third company, that is to say have its own web host, the speaker can not offer after-sales service (SAV) without additional cost. In this situation, the only proposal of the speaker may be to order a pack of hours for technical interventions to perform additional work at the hourly rate.<\/p>\n

N.B.: without specific mentions, the time expected for the payment of steps should not exceed 10 working days. In case of non-payment on the date indicated, the estimate and the approximate delivery time expire. In this situation, the mission is considered abandoned by the customer and the service provider has the right to break his commitments with the customer, no refund possible and in some cases, without delivery of the work performed especially if it has been completed and the customer has not paid the full price thereof. All completed work must be paid in its entirety in order to be delivered.<\/p>\n

All services provided directly on their content will be paid in advance.<\/p>\n

Article 6-2 Hours package<\/p>\n

In case of occasional services, in order to avoid publishing microfactures and to cover the direct requests of the Customer which are being delivery, the service provider will propose his customer to credit his the account through some packs of hours. The customer may, in some cases enjoy some offered hours for free (discount). At the end of the pack, the customer will get details (in a list) of the services provided.<\/p>\n

Article 7 – INVOICE AND PAYMENTS<\/p>\n

The payments have to be done to the company Kim Communication LP
\n.<\/p>\n

Article 7-1 – the payment procedure put in place by the service provider<\/p>\n

The amounts must be fully paid in advance but not for quotes where the payment terms are different.<\/p>\n

Example of exception: when submitting the quote, some service groups can be divided into several payments. For example, a “Website creation pack comprising two stages:” Payment 1 graphic “and integration,” pay 2 accommodation “.
\nInvoice: the customer receives the invoice and delivery starts as soon as possible when the payment is made, received and validated by the company Kim Communication LP.<\/p>\n

Article 7-2 – Different payment methods<\/p>\n

\u2022 Secure online payment (HiPay): Credit Card (CB) – Visa – MasterCard or PayPal.<\/p>\n

Article 7-3 – Additional information on this item<\/p>\n

The prices stipulated in the estimate are valid for one month from the date of issuance thereof (except if the expiration date indicats a shorter period). They remain firm and not subject to revision control occurs during this period. The deliverables are those clearly stated in the quotation, so all unstated corollary benefits are not included and will be additional estimates object or an extra bill if the provision was requested by the customer or accepted after proposal by the service provider. Rates are expressed in Euros.<\/p>\n

Article 8 – DELIVERY<\/p>\n

The approximate delivery time specified to the Customer may reasonably vary, depending primarily on the time for resolving the various stages of payment, in case of additional requests made during the mission, or for other valid reasons and expressed in good faith by the service provider.<\/p>\n

It corresponds to a period estimated necessary to achieve the product or service and take effect on the date of validation of the Regulation. The estimated approximate delivery time expressed prior to the start of the service depends partly on the number of other customers waiting before the customer. The same service could be delivered shorter or longer depend on the different times of the year.<\/p>\n

The service provider is organized to offer short delivery times, particularly for short tasks. The service provider reserves the right to extend the deadline provided which is approximative.<\/p>\n

Excepting a large specific development work, the service provider fixe, in most cases, approximate delivery dates not exceeding 60 working days.<\/p>\n

Example: for a first payment made January 1, 2009, a customer should be delivered before 31 March 2009. The delivery time may be postponed if the service provider is not in possession of all the information (photos, texts, videos …) provide by the customer for the realization of his project. Or if the Customer does not perform the necessary validations in pursuit.<\/p>\n

The final product is delivered electronically by email, by setting Online FTP or HTTP publication.<\/p>\n

Article 8-1 – Technical Impossibilities<\/p>\n

In the event that a mission could not be completed due to technically impossibilities (eg hourly intervention to resolution of known bug on the website with a responsible third party plugin which is not maintained, the service provider is not responsible so), an abandonment of mission or alternative will be offered to the client, which in some cases could result in extra fees charged.<\/p>\n

Article 8-2 – INTERNET EXPLORER<\/p>\n

This browser has been permanently no more supported in 2013 by Microsoft and is no longer updated since version 11. Internet Explorer has never comply the standards of the Web and has always been unstable, hence the abandonment of it by Microsoft.<\/p>\n

The websites created by the service provider use the latest CSS3 and HTML5 technologies with different JavaScript frameworks that are not compatible with Internet Explorer. Google services themselves no longer support this browser (for example, YouTube). Since January 2017, this browser is no longer supported for the sites creation of the service provider.<\/p>\n

Article 9 – CANCELLATION OF ORDER<\/p>\n

The termination on all goods and services ordered is available by a contact by email. This termination does not involve any refunds or credits on bills that have already been collected and the bills still due have to be fully paid. Any dispute which not finding mutual agreement and subject to a claim for damages by the customer, shall not exceed the amount of the quote\/job.<\/p>\n

Once an estimate is sent and accepted by the customer, joining the payment of the total amount or partial amount of the estimate, the project will start once the paiement is received and validated by the company.<\/p>\n

If the contract is broken before its term by the Customer, the Customer formally undertakes to regulate and reward amounts for current calendar, made to stations or in progress, as well as additional made services. All copyrights remain the exclusive and complete ownership of the service provider, with the exception of data provided by the customer, except in cases where the service has actually been fully paid.<\/p>\n

Files and data sources created and used by the service provider can not therefore be claimed by the Customer without a financial contribution. The models, and, more broadly, all original works remain the property of the service provider, as the rejected projects. The amount already paid will remain acquired by the worker, constituting compensation for the work undertaken, and for the break of contract.<\/p>\n

In case of a dispute concerning a pack of hours (see section 6-2) resulting from a customer dispute over the details received from the service provider and not finding an amicable agreement, the customer will have on a form of hours of intervention coincides with the number of hours doing the object of his complaint. Once the service provider has worked for these hours of compensation, he will not be available for the Customer and no more sales can not be reached between the two parties, except where the customer paid the extra hours resulting from the issue of compensation litigation created by himself.<\/p>\n

Article 10 – TERMINATION OF RECURRING AND IMPLIED RENEWAL<\/p>\n

Article 10-1 – All recurring service (see exception to Article 10-2) such as a web hosting service managed by the annual care of the service provider will be canceled at least 7 days before expiration date, in which case the contract is automatically renewed for a further period of one year.<\/p>\n

In the opposite case, the total amount of the Hosting year will be due to the service provider. Even if the customer finaly doesn’t want to renew this service, if the condition or the obligation to notify the Customer has been respected by the service provider (see Article 4-2 – The service provider).<\/p>\n

Article 10-2 – If the Customer wishes that the service provider managed his domain name (see supplement Article 21), the service provider may, in some cases, renew his domain name in advance without notifying the customer and, for example, to avoid the loss of a domain name due to the renewal of oblivion, or to ease the work in communications. If the domain was renewed by the service provider, the price of his service will be fully due, and, even in case of termination of another service.<\/p>\n

Article 11 – INABILITY TO WORK<\/p>\n

In case of inability to work, due to illness or accident, the service provider has the right to change the current schedule but may not be required by the customer compensation payments.<\/p>\n

Article 12 – FORCE MAJEURE<\/p>\n

The parties can not be held responsible or have failed to meet their contractual obligations, when the failure of performance of respective obligations originated of a force majeure; the contract between the parties is suspended until the expiry of causes that led to the force majeure.<\/p>\n

Force majeure takes into account the compelling facts or circumstances, outside parties, unpredictable or outside the control of the parties, despite all reasonable efforts to prevent them.
\nIs also considered as a force majeure the sikness of the decision makers, the blocking of means of transportation or supplies, earthquakes, fires, storms, floods, lightning, stop telecommunication networks, including all the networks accessible via the Internet or difficulty specific to telecommunication networks to external parties.<\/p>\n

The party affected by a force majeure shall notify the other as soon as possible after the date on which it becomes. Both parties then agree on the conditions under which the contract will be continued.<\/p>\n

Article 13 – SETTLEMENT OF DISPUTES<\/p>\n

In case of disputes, the parties undertake to make every effort to resolve their problems amicably. If an amicable resolution could not be achieved, it will be the competent court of the nearest city court of the service provider who decides.<\/p>\n

Article 14 – PROPERTIES OF THE SERVICES<\/p>\n

The entire production and rights thereto, subject of the order remains the sole and exclusive property of the service provider as the issued invoices are not fully paid by the customer, up to the total amount of control and any amendments concluded during delivery. As a corollary, the customer will own due to the production and rights transferred from the final settlement and soldant of all invoices issued by the service provider in the context of the order. Unless otherwise stated on the quote, production files and sources remain the property of the service provider. Only the finished product will be sent to the customer. In the absence of such a reference and if the customer wants to have the source of the documents, an addendum to this document will be requested.<\/p>\n

Article 15 – ASSIGNMENT OF PRINCIPLES<\/p>\n

Reproduction and reissue of the service provider’s creations are subject to the perception of copyright under the law of 11 March 1957. The sale of these rights relates only to the specific intended use. Any further or other use requires a new agreement.<\/p>\n

Modifications or interpretations of a graphic creation or otherwise can not be made under any circumstances, without the consent of the service provider. The mention of the name of the author in the footer can not be removed without the consent of the service provider. The control works belong to the author and not to the customer. The author of the work, which is presumed to be the person under whose name the work is disclosed, is still the original copyright holder, even if he can then sell his economic rights.<\/p>\n

Article 16 – COPYRIGHT AND DISSEMINATION<\/p>\n

Reproduction and distribution rights are calculated based on the diffusion of creation. They can be a flat rate or partially sold. Each different adaptation of the original work that is the subject of a new copyright assignment. For each new edition, the fee must be updated. The rights are assigned in the temporal and geographical scope of this contract and shall not exceed in this limit. To allow the customer to freely exploit the service provided within the framework of his business, all of the economic rights relating to the creation of the provider, under the project will be fully and exclusively assigned to the customer, and for the dissemination of supports specifically addressed in the order, during the actual payment of the full fees due.<\/p>\n

Article 17 – COPYRIGHT AND MENTION OF THE TRADE INVOLVED<\/p>\n

Unless explicitly stated otherwise the customer, the service provider reserves the right to include in achieving a commercial statement clearly indicating his contribution, as the phrase “Website design by Kim-Communication.com” matched when the support allows for one or more hyperlinks to one or another site published by the service provider.<\/p>\n

Article 18 – ADVERTISING LAW<\/p>\n

The service provider reserves the right to mention the achievements made for the customer on his documents for external communication and advertising (website, flyers, etc …) and during commercial prospecting canvassing.<\/p>\n

Article 19 – WARRANTY<\/p>\n

Article 19-1 – Web Hosting Guarantee<\/p>\n

The service provider provides a form of guarantee on access to web hosting clients. The availability of accommodation spaces or Web servers must be 99% minimum. If the downtime of the service has been observed and reported by the customer in contact with the speaker exceeds 1% over the annual subscription every day of downtime will be fully refunded to the client at the end of the annual period or client will get another form of compensation. For this, it may ask the customer to submit an invoice to the intervening way to have a portion of their bill. In case of prolonged downtime, no further financial compensation where no other compensation can be claimed from the speaker, and regardless of the harm stopping the service might engender. In addition, the customer must keep recent backups locally of his website and his datas. These backups can be obtained at any time on request from the service provider.<\/p>\n

In the case where the Customer wishes to benefit from the services of the Intervener to perform interventions on a third-party hosting server that is not managed by the Intervener, the Stakeholder is in no way responsible for the reliability of that for example, in the case of lack of resources. That is, if, for example, the Client wants to migrate from a Web server to another server that is not managed by the Stakeholder, he will only be able to perform this one in the case where the hosting service chosen by the client is perfectly functional and compatible with the chosen solutions (WordPress …). In the case where the Customer chooses his hosting solution on his own initiative, he is solely responsible for the proper functioning of the latter. In no case will the Intervener be held responsible for the malfunctions of this one.<\/p>\n

Article 19-2 – Guarantees for computer data<\/p>\n

The service provider is at the customer’s disposal to provide a copy of the Customer’s IT capital with all the data. Despite the establishment of technical means such as choice of suppliers with backups with retention, the service provider disclaims all liability for loss of data for any cause : Failure of the computer hardware storing and hosting, computer bug, false human handling, system failure backup, etc.<\/p>\n

The service provider is available to deliver to the customer on request a recent backup copy of the client’s site, despite the effort of reliability hosting spaces and servers outsourced by suppliers of the service provider, no guarantee about the sustainability of the stored data is provided.<\/p>\n

Article 20 – INTERRUPTION OF OFFER<\/p>\n

Article 20-1 – stop, interruption and out of stock products and services<\/p>\n

The service provider reserves the right to modify or stop offering some services or products as well as internationally move the company or cease his activity for any reason whatsoever.<\/p>\n

Products offered and delivered always match to the descriptions on the website of the service provider and to the description sent by email to the customer can be stopped, modified, temporarily out of stock or out of stock final.<\/p>\n

Article 20-2 – Mission Refusal<\/p>\n

The service provider reserves the right not to accept a mission without having to justify the reason.<\/p>\n

Article 21 – DOMAIN NAME PROPERTY<\/p>\n

The customer is free to technically manage his domain name by himself and even on request to the service provider. Despite this, the service provider is at the customer’s disposal for domain name registration, the provider can choose for the customer the Registar and mediates (technical contact). Domain names registered by the service provider for customer are registered with the name and business name of the customer in the “Owner” field. Domain names belong to the customer who ordered and the customer is fully responsible of it.

Si le client est un particulier, il reconna\u00eet \u00eatre majeur conform\u00e9ment aux lois du pays o\u00f9 il r\u00e9side.\r\n \r\nLe client faisant appel aux services de l\u2019intervenant reconna\u00eet avoir pris connaissance et accept\u00e9 sans r\u00e9serve les conditions g\u00e9n\u00e9rales de vente suivantes, ainsi que les mises en garde \u00e9nonc\u00e9es dans l\u2019Extraits de la loi n\u00b0 57-298 du 11 mars 1957 sur la propri\u00e9t\u00e9 artistique (J.O. du 14 mars 1957) des droits des auteurs concernant les lois de la propri\u00e9t\u00e9 intellectuelle. De cette fa\u00e7on, le Client s\u2019engage \u00e0 approuver lesdites conditions de vente. Le caract\u00e8re \u00e9lectronique de cette signature ne pourra \u00eatre contest\u00e9 et le Client se doit d'interdire l'acc\u00e8s \u00e0 sa boite e-mail \u00e0 des tiers pouvant usurper son identit\u00e9 lors de l'approbation de ces conditions. En acceptant un devis \u00e0 re\u00e7u de l'Intervenant, le Client atteste accepter sans r\u00e9serve les conditions g\u00e9n\u00e9rales de vente.\r\n \r\nArticle 3 \u2013 RESPONSABILIT\u00c9 DU CLIENT\r\n \r\nLe client s\u2019engage \u00e0 fournir des informations justes et sinc\u00e8res et s\u2019engage \u00e0 pr\u00e9venir l'intervenant de tout changement concernant les donn\u00e9es fournies et sera seul responsable des \u00e9ventuels dysfonctionnements qui pourraient r\u00e9sulter d\u2019informations erron\u00e9es. Le client doit maintenir une adresse e-mail valide et \u00eatre joignable au num\u00e9ro de t\u00e9l\u00e9phone qui aura \u00e9t\u00e9 fourni. Aucune communication courrier classique ou RAR ne pourront \u00eatre exig\u00e9es de la part du Client. \r\n \r\nArticle 4 \u2013 ENGAGEMENTS DES PARTIES\r\n \r\nD\u2019une fa\u00e7on g\u00e9n\u00e9rale, le Client et l'Intervenant s\u2019engagent \u00e0 collaborer de mani\u00e8re \u00e0 assurer la bonne ex\u00e9cution de la vente. \r\n \r\nArticle 4-1 - Le client\r\n \r\nPour permettre \u00e0 l'intervenant de r\u00e9aliser sa mission, le client s\u2019engage \u00e0 :\r\n\u2028\u2022 \u00catre en mesure de fournir \u00e0 l'Intervenant un cahier de charges exhaustif, l'Intervenant pourra l'aider pour la r\u00e9daction des sp\u00e9cifications fonctionnelles & techniques d\u00e9taill\u00e9es au tarif horaire habituel. Dans le cas inverse, le devis sera gratuit dans la plupart des cas.\r\n\u2028\u2022 Avoir pris connaissance, compris et accepter le service propos\u00e9 par l'Intervenant. Dans le cas contraire, il est de la responsabilit\u00e9 d'exig\u00e9 de l'Intervenant plus de d\u00e9tails sur le d\u00e9roulement futur de la mission. Dans le cas o\u00f9 des modifications impliqueraient un remaniement substantiel de l'offre ou du cahier des charges implicite, ces derni\u00e8res seront factur\u00e9es en sus du devis initial.\u2028\r\n\u2022 Approuver l'intervention future de l'Intervenant par accord e-mail ou par le biais du r\u00e8glement d'un acompte et s\u2019engagera par cons\u00e9quent \u00e0 approuver lesdites conditions de vente. Le caract\u00e8re \u00e9lectronique de cette signature ne pourra \u00eatre contest\u00e9 et le Client se doit d'interdire l'acc\u00e8s \u00e0 des tiers pouvant usurper son identit\u00e9 lors de l'approbation par e-mail de cette prestation et donc de ces pr\u00e9sentes conditions. \r\n\u2028\u2022 Fournir tous les \u00e9l\u00e9ments documentaires graphiques et textuels n\u00e9cessaires \u00e0 la bonne r\u00e9alisation du contrat (notamment dans les bons formats exploitables en fonction des supports vis\u00e9s).\r\n\u2022 Disposer des droits n\u00e9cessaires sur les \u00e9l\u00e9ments fournis ci-dessus. Seule la responsabilit\u00e9 du commanditaire pourra \u00eatre engag\u00e9e \u00e0 ce titre.\u2028\r\n\u2022 \u00catre r\u00e9actif en r\u00e9pondant dans les plus brefs d\u00e9lais aux e-mails envoy\u00e9s par l'Intervenant et faire le n\u00e9cessaire pour ne pas allonger le d\u00e9lai approximatif de livraison.\u2028\r\n\u2022 Collaborer activement \u00e0 la r\u00e9ussite du projet en apportant \u00e0 l'intervenant dans les d\u00e9lais utiles toutes les informations et documents n\u00e9cessaires \u00e0 la bonne appr\u00e9hension des besoins et \u00e0 la bonne ex\u00e9cution des prestations.\u2028\r\n\u2022 Se conformer strictement aux pr\u00e9conisations techniques et cr\u00e9atives faites par l'Intervenant.\u2028\r\n\u2022 Garantir l'Intervenant contre toute action qui pourrait lui \u00eatre intent\u00e9e du fait du caract\u00e8re des donn\u00e9es ou informations (textes, images, sons) qui auraient \u00e9t\u00e9 fournies ou choisies par le client.\u2028\r\n\u2022 Informer l'intervenant d\u2019une \u00e9ventuelle mise en concurrence avec d\u2019autres prestataires.\r\n\u2022 Assumer toute responsabilit\u00e9 quant \u00e0 la s\u00e9curit\u00e9 des identifiants de connexion qui lui sont fournis par son Intervenant. Au cas o\u00f9 le client divulguerait ses identifiants de connexion \u00e0 un tiers, l'intervenant ne peut-\u00eatre tenu responsable du pr\u00e9judice que cela pourrait causer. Le Client est libre de modifier tous ses identifiants \/ mots de passe (ou demander leur modification) autant de fois qu'il le souhaite sur simple notification \u00e0 l'Intervenant.\r\n\u2022 Faire personnellement la d\u00e9marche de demande d\u2019informations, fichiers, donn\u00e9es n\u00e9cessaires \u00e0 la reprise du site par un autre prestataire si tel devait \u00eatre le cas un jour, par exemple, en cas de force majeure \/ d\u00e9c\u00e8s de l\u2019Intervenant.\r\n \r\nArticle 4-2 - L\u2019intervenant\r\n\r\n\u2022 L'Intervenant tentera de donner un d\u00e9lai approximatif de livraison qui d\u00e9pendra, entre autres, de la rapidit\u00e9 de transmission des donn\u00e9es et\/ou des paiements du clients.\r\n\u2022 Si n\u00e9cessaire, l'intervenant pourra intervenir dans l\u2019\u00e9laboration du cahier des charges, conjointement avec le client. Ce travail pourra \u00eatre factur\u00e9 au client, au tarif horaire en vigueur et ce, s'il exc\u00e8de une dur\u00e9e de 4 heures (\u00e9laboration de prototype \/ dessins d'un aper\u00e7u d\u2019\u00e9cran). \r\n\u2022 L'intervenant garantit que les cr\u00e9ations sont juridiquement disponibles et ne sont pas grev\u00e9es de droit des tiers, salari\u00e9s ou non du prestataire, pour les utilisations pr\u00e9vues au titre de la vente.\r\n\u2022 Il s\u2019engage \u00e0 informer le client de l\u2019avanc\u00e9e de la r\u00e9alisation du projet ou, r\u00e9pondra sous 2 jours ouvrables maximums dans le cas de demandes d'ETA concernant un projet en cours ayant re\u00e7u acompte.\r\n\u2022 Au titre de la confidentialit\u00e9 et pendant toute la dur\u00e9e des pr\u00e9sentes et m\u00eame apr\u00e8s leur cessation pour quelque cause que ce soit, l'intervenant s\u2019engage \u00e0 conserver strictement confidentiel l\u2019ensemble des informations et documents de quelque nature que ce soit, relatifs au client, auxquels il aurait pu avoir acc\u00e8s dans le cadre notamment de l\u2019ex\u00e9cution de sa pr\u00e9sente mission.\r\n\u2022 L'intervenant s'engage \u00e0 respecter la vie priv\u00e9e de son client. Les informations fournies \u00e0 l'intervenant et \u00e0 sa soci\u00e9t\u00e9 ne seront ni vendues, ni lou\u00e9es, ni partag\u00e9es \u00e0 des tiers. \r\n\u2022 Dans le cas de sites Internet o\u00f9 l'Intervenant est le contact direct entre le Client et l'Infog\u00e9rance, celui-ci s'engage dans la mesure de faisabilit\u00e9 \u00e0 fournir au client toutes les donn\u00e9es et informations n\u00e9cessaires \u00e0 la reprise de son site Internet et\/ou \u00e0 son nouveau prestataire de service comp\u00e9tent si le client en fait la demande : fichiers physiques, base de donn\u00e9es et pour les offres d'h\u00e9bergement concern\u00e9es : acc\u00e8s FTP\/MySQL, etc.\r\n\u2022 Dans le cas d'un service r\u00e9current tel qu'un h\u00e9bergement, l'Intervenant s'engage \u00e0 notifier le Client de l'expiration de son service au moins 15 jours \u00e0 l'avance par e-mail, sans quoi l'Intervenant ne pourra exiger le renouvellement de celui-ci que sur accord explicite du Client. \r\n\u2022 Dans le cas de ventes o\u00f9 l'Intervenant est en contact avec le client d'un Client, c'est-\u00e0-dire dans le cas de sous-traitance, l'Intervenant s'engage \u00e0 ne pas d\u00e9marcher le client du Client pour lui proposer ses propres services de fa\u00e7on \u00e0 contourner le Client, et ce pendant un d\u00e9lai de minimum 3 mois apr\u00e8s l'ex\u00e9cution de la mission, objet de la vente, sauf autorisation expresse du Client.\r\n \r\nArticle 5 \u2013 FRAIS ANNEXE\r\n \r\nLa majorit\u00e9 des \u00e9l\u00e9ments divers n\u00e9cessaires \u00e0 la r\u00e9alisation des prestations de l'intervenant rel\u00e8vent de ses offres et sont compris dans les prix indiqu\u00e9s. Dans les cas o\u00f9 la vente engendrerait de frais suppl\u00e9mentaires non directement inclus dans l'offre, tels que des typographies suppl\u00e9mentaires, des photographies\/illustrations suppl\u00e9mentaires issues de banques d\u2019images, des frais d\u2019impression ou d\u2019h\u00e9bergement Web suppl\u00e9mentaires, s'il n'a pu r\u00e9gler ces frais lui-m\u00eame, le Client peut se voir r\u00e9clamer le r\u00e8glement de ces frais par son Intervenant.\r\nSauf si cela a \u00e9t\u00e9 explicitement pr\u00e9cis\u00e9 dans l'offre, le contenu textuel permettant la r\u00e9alisation du produit devra \u00eatre fourni par le client.\r\n \r\nArticle 6 \u2013 BON DE COMMANDE ET D\u00c9ROULEMENT DES TRAVAUX\r\n \r\nLe r\u00e8glement de l\u2019acompte ou du devis par le client fait office de bon de commande et conditions g\u00e9n\u00e9rales de vente sign\u00e9es. Le client reconna\u00eet avoir pris connaissance et accepter les pr\u00e9sentes conditions g\u00e9n\u00e9rales de vente. Le travail d\u00e9bute d\u00e8s que le r\u00e8glement a \u00e9t\u00e9 effectu\u00e9 dans sa totalit\u00e9, r\u00e9ceptionn\u00e9 et valid\u00e9 par la soci\u00e9t\u00e9. En cas de \u00ab pack tout compris \u00bb contenant plusieurs \u00e9l\u00e9ments pouvant \u00eatre scind\u00e9s, le client pourra choisir de r\u00e9gler son \u00ab pack tout compris \u00bb en autant de fois qu'il y a d'\u00e9l\u00e9ments pouvant \u00eatre s\u00e9par\u00e9s list\u00e9 dans son devis (maximum 4). Le d\u00e9lai approximatif de livraison d\u00e9pendra de la r\u00e9activit\u00e9 du client \u00e0 fournir les documents ou effectuer les paiements lorsqu'ils sont demand\u00e9s. Les \u00e9l\u00e9ments documentaires graphiques et textuels n\u00e9cessaires \u00e0 la bonne r\u00e9alisation du contrat devront \u00eatre \u00e0 disposition de l'intervenant, sans quoi le d\u00e9lai de livraison se verra allong\u00e9.\r\n \r\nArticle 6-1 Informations compl\u00e9mentaire sur la proc\u00e9dure \u00e9tablie entre l'intervenant et le client lors de la r\u00e9alisation d'un site Web complet : \r\n \r\n1. Le client contacte l'intervenant pour recevoir des conseils sur le produit ou le service le mieux adapt\u00e9 \u00e0 son projet.\r\n \r\n2. L'intervenant oriente le client vers l'un de ses services\/produits tout en lui d\u00e9crivant plus ou moins succinctement. \r\n \r\n3. Le client, apr\u00e8s avoir compris l'offre de l'Intervenant, peut faire une demande de devis pour le produit de son choix en fournissant les informations suivantes \u00e0 l'intervenant : Soci\u00e9t\u00e9, Nom et pr\u00e9nom du responsable, Adresse, Code postal, Ville, T\u00e9l\u00e9phone, Email, Pays, Siret (ex: 987654321) ou TVA Intracommunautaire (ex: FR98765432100). \r\n \r\n4. L'intervenant r\u00e9alise le devis qui sera envoy\u00e9 par e-mail au client dans un d\u00e9lai de 5 jours ouvrables.\r\n \r\n5. Le client accepte le devis qui lui est propos\u00e9, par un accord e-mail ou par paiement d'acompte. Cela constitue un \u00ab bon pour accord \u00bb pour l'offre compl\u00e8te qui lui a \u00e9t\u00e9 faite. \r\n \r\n6. L'intervenant en prend note et fixe : \r\n \r\n- Un d\u00e9lai approximatif de livraison : le d\u00e9lai peut varier, par exemple allong\u00e9 si le client manque de r\u00e9activit\u00e9 lors de contacts avec de son intervenant. \r\n \r\n- Une date limite de r\u00e8glement de la ou les factures. \r\n \r\n7. Le client effectue ses paiements sous 10 jours ouvrables.\r\n \r\n8. Le paiement est r\u00e9ceptionn\u00e9 et valid\u00e9 par l\u2019intervenant, le client re\u00e7oit imm\u00e9diatement sa facture acquitt\u00e9e.\r\n \r\n9. Le travail commence.\r\n \r\n9.1 Sans que cela soit syst\u00e9matique et si cela a \u00e9t\u00e9 \u00e9tabli dans l'offre financi\u00e8re, le client peut recevoir dans certains cas une premi\u00e8re et unique proposition graphique. C'est une image \u00ab Maquette graphique \u00bb correspondant au mieux aux pr\u00e9f\u00e9rences graphiques qui ont \u00e9t\u00e9 \u00e9voqu\u00e9es par le client. \r\n \r\n9.2 Le client critique et demande des modifications sur les \u00e9l\u00e9ments de cette maquette qui ne lui conviennent pas.\r\n \r\n9.3 L'intervenant effectue les corrections et envoie la deuxi\u00e8me maquette au client;\r\n \r\n9.4 Le client valide les modifications et la maquette d\u00e9finitive. Si cette maquette ne convient toujours pas au client, le travail suppl\u00e9mentaire pour chaque modification et chaque maquette sera factur\u00e9 au tarif horaire habituel.\r\n \r\n9.5 Le client passe \u00e0 l'int\u00e9gration HTML\/CSS de la maquette \"image\" en page Internet. Il l'adapte au syst\u00e8me de gestion de contenu dans le cas d'une utilisation de CMS.\r\n \r\n10. Le client re\u00e7oit le produit cit\u00e9 dans l'objet du devis : la vente s'arr\u00eate sauf en cas de prestation \u00e0 d\u00e9lai prolong\u00e9 (exemple : infog\u00e9rance serveur, h\u00e9bergement de site Internet...).\r\n\r\nN.B. : Sans mention sp\u00e9cifique, le d\u00e9lai attendu pour le paiement des diff\u00e9rentes \u00e9tapes ne devra pas exc\u00e9der 10 jours ouvrables. En cas de non-r\u00e8glement \u00e0 la date indiqu\u00e9e, le devis ainsi que le d\u00e9lai approximatif de livraison expirent. Dans cette situation, la mission est consid\u00e9r\u00e9e comme abandonn\u00e9e par le Client et l'Intervenant se r\u00e9serve le droit de rompre ses engagements avec le client, sans remboursement possible et dans certains cas, sans livraison du travail effectu\u00e9 en particulier si celui-ci a \u00e9t\u00e9 achev\u00e9 et que le client n'a pas r\u00e9gl\u00e9 la totalit\u00e9 du prix de celui-ci. Tout travail termin\u00e9 devra \u00eatre r\u00e9gl\u00e9 dans sa totalit\u00e9 afin d'\u00eatre livr\u00e9.\r\n\r\nToutes les prestations directement assur\u00e9es sur serveur tiers devront \u00eatre pay\u00e9es anticipativement.\r\n\r\nArticle 6-2 Packs d'heures\r\n\r\nDans le cas de prestations ponctuelles, afin d'\u00e9viter l'\u00e9dition de microfactures et afin de couvrir les demandes directes du Client en cours de prestation, l'Intervenant proposera \u00e0 son client de pr\u00e9cr\u00e9diter son compte chez l'Intervenant par le biais de packs d'heures. Le Client pourra, dans certains cas b\u00e9n\u00e9ficier d'avantages tels que des heures offertes gratuitement (ristourne). En fin de pack, le Client se verra recevoir un d\u00e9tail des prestations effectu\u00e9es. \r\n \r\nArticle 7 \u2013 FACTURE ET R\u00c8GLEMENT\r\n \r\nLes r\u00e8glements se font \u00e0 l'entreprise Kim Communication ltd.\r\n \r\nArticle 7-1 - Proc\u00e9dure du paiement mise en place par l'intervenant \r\nLes prestations doivent \u00eatre r\u00e9gl\u00e9es d'avance dans leur totalit\u00e9, sauf mention contraire sur devis.\r\nExemple d'exception : lors de la remise du devis, certains groupes de prestations peuvent \u00eatre scind\u00e9s en plusieurs paiements. Par exemple un \u00ab pack de cr\u00e9ation de site Web \u00bb comprenant 2 \u00e9tapes : \u00ab paiement 1 charte graphique \u00bb et int\u00e9gration, \u00ab paiement 2 h\u00e9bergement \u00bb. \r\nFacture : le client re\u00e7oit sa facture et la prestation commence au plus vite pour une livraison dans les meilleurs d\u00e9lais lorsque le paiement est effectu\u00e9, r\u00e9ceptionn\u00e9 et valid\u00e9 par l'entreprise Kim Communication ltd.\r\n \r\nArticle 7-2 - Les diff\u00e9rents moyens de paiement\r\n\r\n\u2022 Paiement en ligne s\u00e9curis\u00e9 (HiPay) : Carte bancaire (CB) - Visa - MasterCard.\r\n \r\nArticle 7-3 - Informations compl\u00e9mentaires sur la facture\r\n \r\nLes frais de poursuites et d\u2019honoraires pour le recouvrement de factures impay\u00e9es sont \u00e0 la charge du client.\r\nLes prix stipul\u00e9s sur le devis sont valables un mois \u00e0 partir de la date d\u2019\u00e9mission de celui-ci (sauf date d'expiration mentionnant un d\u00e9lai plus court). Ceux-ci restent fermes et non r\u00e9visables si la commande intervient durant ce d\u00e9lai. Les prestations \u00e0 fournir sont celles clairement \u00e9nonc\u00e9es sur le devis, de mani\u00e8re corollaire toutes prestations non \u00e9nonc\u00e9es ne sont pas comprises et feront l\u2019objet de devis suppl\u00e9mentaires ou d'une facture en sus dans le cas o\u00f9 la prestation a \u00e9t\u00e9 demand\u00e9e par le client ou accept\u00e9e apr\u00e8s proposition par l'Intervenant. Les tarifs sont exprim\u00e9s en Euros. \r\n \r\nArticle 8 \u2013 LIVRAISON\r\n \r\nArticle 8-1 - D\u00e9lais \r\n\r\nLe d\u00e9lai approximatif de livraison indiqu\u00e9 au Client pourra varier de fa\u00e7on raisonnable, en fonction notamment du d\u00e9lai de r\u00e8glement des diff\u00e9rentes \u00e9tapes de paiement, en cas de demandes suppl\u00e9mentaires formul\u00e9es en cours de mission, ou pour d'autres motifs justifi\u00e9s et exprim\u00e9s en toute bonne foi par l'Intervenant. Il correspond \u00e0 une estimation de p\u00e9riode n\u00e9cessaire \u00e0 la r\u00e9alisation du produit ou de la prestation et prend effet \u00e0 la date de validation du r\u00e8glement.\r\nLe d\u00e9lai de livraison approximatif estim\u00e9 exprim\u00e9 pr\u00e9alablement au d\u00e9but de la prestation d\u00e9pend en partie du nombre d'autres clients en attente avant le Client. Une m\u00eame prestation pourrait donc \u00eatre plus ou moins longue \u00e0 livrer \u00e0 diff\u00e9rents moments de l'ann\u00e9e. \r\nL'intervenant s'organise pour offrir des d\u00e9lais courts, en particulier pour les courtes prestations. L'intervenant se r\u00e9serve le droit d'allonger le d\u00e9lai fourni en guise d'estimation et ce, lorsque cela peut-\u00eatre justifi\u00e9.\r\n\u00c0 l'exception de grands travaux de d\u00e9veloppement sp\u00e9cifiques, l'intervenant fixe, dans la plupart des cas, des dates approximatives de livraison n'ayant pas au-del\u00e0 de 60 jours ouvrables. Exemple : pour un premier r\u00e8glement effectu\u00e9 le 1 janvier 2009, un client devrait \u00eatre livr\u00e9 avant le 31 mars 2009.\r\nLe d\u00e9lai de livraison peut \u00eatre diff\u00e9r\u00e9 si l'Intervenant n\u2019est pas en possession de la totalit\u00e9 des informations (photos, textes, vid\u00e9os\u2026) \u00e0 fournir par le Client pour la r\u00e9alisation de son projet ou si le Client ne proc\u00e8de pas aux validations n\u00e9cessaires \u00e0 sa poursuite.\r\nLe produit final est livr\u00e9 de mani\u00e8re \u00e9lectronique par e-mail, par mise en ligne FTP ou par publication HTTP.\r\n\r\n\r\nArticle 8-1 - Impossibilit\u00e9s techniques\r\n\r\nDans le cas o\u00f9 une mission ne pourrait \u00eatre men\u00e9e \u00e0 terme pour cause d'impossibilit\u00e9 technique (exemple : intervention horaire pour r\u00e9solution de bug connu sur site dont un plugin tiers non maintenu serait responsable, et non l'Intervenant), un abandon de mission ou une alternative sera propos\u00e9e au client qui, dans certains cas pourrait engendrer des frais factur\u00e9s en sus. \r\n\r\nArticle 9 \u2013 ANNULATION DE COMMANDE\r\n \r\nLa r\u00e9siliation sur tous produits et services command\u00e9s est possible moyennant un contact mail. Cette r\u00e9siliation n'entra\u00eene aucun remboursement ni avoir sur les factures ayant d\u00e9j\u00e0 \u00e9t\u00e9 encaiss\u00e9es et les factures dues le restent dans leur int\u00e9gralit\u00e9. Tout litige ne trouvant d'accord amiable et faisant l'objet d'une demande de dommages et int\u00e9r\u00eats, de la part du Client, ne pourra exc\u00e9der le montant de la prestation.\r\n\r\nD\u00e8s lors qu\u2019un devis est envoy\u00e9 et accept\u00e9 par le Client, joignant le paiement du montant total ou partiel du devis, la cr\u00e9ation d\u00e9butera une fois ce dernier re\u00e7u et valid\u00e9 par la soci\u00e9t\u00e9. En cas de rupture du contrat avant son terme par le Client, le Client s\u2019engage formellement \u00e0 r\u00e9gulariser et r\u00e9tribuer les montants relatifs au calendrier en cours, aux postes r\u00e9alis\u00e9s ou en cours de r\u00e9alisation, ainsi qu\u2019aux services compl\u00e9mentaires effectu\u00e9s. L\u2019ensemble des droits d\u2019auteur reste la propri\u00e9t\u00e9 exclusive et enti\u00e8re de l'Intervenant, \u00e0 l\u2019exception des donn\u00e9es fournies par le client, sauf dans le cas o\u00f9 la prestation a effectivement \u00e9t\u00e9 r\u00e9gl\u00e9e dans sa totalit\u00e9. Les fichiers et donn\u00e9es sources cr\u00e9\u00e9es et utilis\u00e9es par l'Intervenant ne sauraient d\u00e8s lors \u00eatre revendiqu\u00e9s par le Client sans une contribution financi\u00e8re. \u2028Les maquettes, et, plus largement, toutes les oeuvres originales, restent la propri\u00e9t\u00e9 de l\u2019Intervenant, de m\u00eame que les projets refus\u00e9s. Le r\u00e8glement d\u00e9j\u00e0 vers\u00e9 restera acquis par l'intervenant, constituant un d\u00e9dommagement pour le travail entrepris, et pour cause de rupture de contrat.\r\n\r\nDans le cas d'un litige concernant un pack d'heures (voir article 6-2) r\u00e9sultant d'une contestation Client sur le d\u00e9tail re\u00e7u de l'Intervenant et ne trouvant pas d'accord amiable, le client recevra une avoir sous forme d'heures d'intervention co\u00efncidant au nombre d'heures faisant l'objet de sa r\u00e9clamation. Une fois cette compensation prest\u00e9e, l'Intervenant ne sera plus disponible pour le Client et plus aucune vente ne pourra \u00eatre conclue entre les deux parties, sauf dans le cas o\u00f9 le Client r\u00e9glerait les prestations r\u00e9sultant de la compensation issue du litige cr\u00e9\u00e9 par lui-m\u00eame. \r\n \r\nArticle 10 \u2013 R\u00c9SILIATION DES R\u00c9CURRENTS ET RENOUVELLEMENT TACITE\r\n \r\nArticle 10-1 - Tout service r\u00e9current (voir exception \u00e0 l'article 10-2) tel qu'un service annuel d'h\u00e9bergement Web g\u00e9r\u00e9 par les soins de l'Intervenant devra \u00eatre r\u00e9sili\u00e9 au minimum 7 jours ouvrables avant sa date d'expiration, auquel cas le contrat est renouvel\u00e9 tacitement pour une nouvelle p\u00e9riode d'un an. Dans le cas inverse, le montant total de l'ann\u00e9e d'h\u00e9bergement sera d\u00fb \u00e0 l'Intervenant, m\u00eame si le client ne d\u00e9sire finalement pas renouveler service et dans la condition ou l'obligation de notifier le Client a \u00e9t\u00e9 respect\u00e9e par l'Intervenant (voir Article 4-2 - L\u2019intervenant).\r\n\r\nArticle 10-2 - Dans le cas o\u00f9 le Client souhaite laisser g\u00e9rer son nom de domaine par l'Intervenant (voir compl\u00e9ment Article 21), l'Intervenant pourra, dans certains cas, renouveler son nom de domaine au pr\u00e9alable sans en notifier le Client et ce, par exemple, pour \u00e9viter la perte d'un nom de domaine d\u00fb \u00e0 l'oubli de renouvellement, ou pour all\u00e9ger le travail au niveau des communications. Si le nom de domaine a \u00e9t\u00e9 renouvel\u00e9 par l'Intervenant, le prix de sa prestation restera d\u00fb dans sa totalit\u00e9, et ce, m\u00eame en cas de r\u00e9siliation d'un autre service. \r\n \r\nArticle 11 \u2013 INCAPACIT\u00c9 DE TRAVAIL\r\n \r\nEn cas d\u2019incapacit\u00e9 de travail, par suite de maladie ou d\u2019accident, l'intervenant se r\u00e9serve le droit modifier le calendrier en cours sans qu\u2019il ne puisse \u00eatre exig\u00e9 par le Client le versement d\u2019indemnit\u00e9s. \r\n \r\nArticle 12 \u2013 LA FORCE MAJEURE\r\n \r\nLes parties ne peuvent \u00eatre consid\u00e9r\u00e9es comme responsables ou ayant failli \u00e0 leurs obligations contractuelles, lorsque le d\u00e9faut d\u2019ex\u00e9cution des obligations respectives a pour origine la force majeure ; le contrat entre les parties est suspendu jusqu\u2019\u00e0 l\u2019extinction des causes ayant engendr\u00e9 la force majeure.\r\nLa force majeure prend en compte des faits ou circonstances irr\u00e9sistibles, ext\u00e9rieurs aux parties, impr\u00e9visibles ou ind\u00e9pendantes de la volont\u00e9 des parties, malgr\u00e9 tous les efforts raisonnablement possibles pour les emp\u00eacher.\r\nEst aussi consid\u00e9r\u00e9 comme cas de force majeure, la maladie des preneurs de d\u00e9cision, le blocage des moyens de transports ou d\u2019approvisionnements, tremblements de terre, incendies, temp\u00eates, inondations, foudre, l\u2019arr\u00eat des r\u00e9seaux de t\u00e9l\u00e9communication, et notamment tous les r\u00e9seaux accessibles par Internet, ou difficult\u00e9 propre aux r\u00e9seaux de t\u00e9l\u00e9communication ext\u00e9rieurs aux parties.\r\nLa partie touch\u00e9e par la force majeure en avisera l\u2019autre dans les plus brefs d\u00e9lais suivant la date \u00e0 laquelle elle en aura eu connaissance. Les deux parties conviendront alors des conditions dans lesquelles l\u2019ex\u00e9cution du contrat sera poursuivie.\r\n \r\nArticle 13 \u2013 REGLEMENT DES LITIGES\r\n \r\nEn cas de litiges, les parties s\u2019engagent \u00e0 tout faire pour r\u00e9gler leurs diff\u00e9rends \u00e0 l\u2019amiable. Au cas o\u00f9 une r\u00e9solution amiable ne pourrait aboutir, la juridiction comp\u00e9tente est celle du tribunal le plus proche de la ville de l\u2019intervenant.\r\n \r\nArticle 14 \u2013 PROPRI\u00c9T\u00c9S DES TRAVAUX R\u00c9ALIS\u00c9S\r\n \r\nLa totalit\u00e9 de la production et des droits s\u2019y rapportant, objet de la commande, demeure la propri\u00e9t\u00e9 enti\u00e8re et exclusive de l'Intervenant tant que les factures \u00e9mises ne sont pas pay\u00e9es en totalit\u00e9 par le Client, \u00e0 concurrence du montant global de la commande et des avenants \u00e9ventuels conclus en cours de prestation. \u2028De fa\u00e7on corollaire, le Client deviendra propri\u00e9taire de fait de la production et des droits c\u00e9d\u00e9s \u00e0 compter du r\u00e8glement final et soldant de toutes les factures \u00e9mises par l'Intervenant dans le cadre de la commande. Sauf mention contraire figurant sur le devis, les fichiers de production et les sources restent la propri\u00e9t\u00e9 de l'Intervenant. Seul le produit fini sera adress\u00e9 au Client. \u00c0 d\u00e9faut d\u2019une telle mention et si le client d\u00e9sire avoir les sources des documents, un avenant \u00e0 ce pr\u00e9sent document devra \u00eatre demand\u00e9.\r\n \r\nArticle 15 \u2013 PRINCIPES DE CESSION\r\n\r\nLa reproduction et la r\u00e9\u00e9dition des cr\u00e9ations de l'Intervenant sont soumises \u00e0 la perception de droits d\u2019auteur selon la loi du 11 mars 1957. La cession de ces droits ne concerne que l\u2019utilisation sp\u00e9cifiquement pr\u00e9vue. Toute utilisation ult\u00e9rieure ou diff\u00e9rente n\u00e9cessite une nouvelle convention.\r\nLes modifications ou interpr\u00e9tations d\u2019une cr\u00e9ation de nature graphique ou autre ne peuvent \u00eatre faites, en aucun cas, sans le consentement de l'intervenant. La mention faite du nom de l'auteur ne peut \u00eatre supprim\u00e9e sans l'accord de l'intervenant. Les \u0153uvres de commande appartiennent \u00e0 l\u2019auteur et non au commanditaire. L'auteur de l\u2019\u0153uvre, qui est pr\u00e9sum\u00e9 \u00eatre la personne sous le nom duquel l\u2019\u0153uvre est divulgu\u00e9e, est toujours le titulaire originel des droits d\u2019auteur, m\u00eame s\u2019il peut ensuite c\u00e9der ses droits patrimoniaux.\r\n \r\nArticle 16 \u2013 DROITS DE REPRODUCTION ET DE DIFFUSION\r\n \r\nLes droits de reproduction et de diffusion sont calcul\u00e9s en fonction de la diffusion de la cr\u00e9ation. Ils peuvent \u00eatre c\u00e9d\u00e9s forfaitairement ou partiellement. Chaque adaptation diff\u00e9rente de l\u2019oeuvre originale faisant l\u2019objet d\u2019une nouvelle cession de droits d\u2019auteur. Pour chaque nouvelle \u00e9dition, le montant des droits doit \u00eatre r\u00e9actualis\u00e9. Les droits sont c\u00e9d\u00e9s dans le p\u00e9rim\u00e8tre temporel et g\u00e9ographique du pr\u00e9sent contrat et ne sauraient en exc\u00e9der cette limite. Pour permettre au commanditaire d\u2019exploiter librement la prestation fournie dans le cadre de son activit\u00e9, l\u2019ensemble des droits patrimoniaux relatifs \u00e0 la cr\u00e9ation du prestataire, au titre du projet seront enti\u00e8rement et exclusivement c\u00e9d\u00e9s au commanditaire, et ce, pour la diffusion sur les supports sp\u00e9cifiquement adress\u00e9s lors de la commande, lors du paiement effectif de l\u2019int\u00e9gralit\u00e9 des honoraires dus.\r\n \r\nArticle 17 \u2013 COPYRIGHT ET MENTION COMMERCIALE DE L'INTERVENANT\r\n \r\nSauf mention contraire explicite du client, l'Intervenant se r\u00e9serve la possibilit\u00e9 d\u2019inclure dans la r\u00e9alisation une mention commerciale indiquant clairement sa contribution, telle la formule \u00ab Cr\u00e9ation du site Internet par Kim-Communication.com \u00bb assortie lorsque le support le permet d\u2019un ou plusieurs liens hypertextes pointant vers l'un ou l'autre site \u00e9dit\u00e9 pour l'Intervenant.\r\n \r\nArticle 18 \u2013 DROIT DE PUBLICIT\u00c9\u2028\r\nL'intervenant se r\u00e9serve le droit de mentionner les r\u00e9alisations effectu\u00e9es pour le client sur ses documents de communication externe et de publicit\u00e9 (site internet, flyers, etc\u2026) et lors de d\u00e9marchages de prospection commerciale.\r\n \r\nArticle 19 - GARANTIE \r\n \r\nArticle 19-1 - Garantie h\u00e9bergement de site Web\r\n \r\nL'Intervenant fournit une forme de garantie sur l'acc\u00e8s \u00e0 l'h\u00e9bergement Web de ses clients. La disponibilit\u00e9 des espaces d'h\u00e9bergement ou serveurs Web doit \u00eatre au minimum de 99 %. Si le temps d'arr\u00eat du service ayant \u00e9t\u00e9 constat\u00e9 et signal\u00e9 par le client par contact \u00e0 l'intervenant d\u00e9passe 1 % durant l'abonnement annuel, chaque jour d'indisponibilit\u00e9 sera int\u00e9gralement rembours\u00e9 au client \u00e0 la fin de sa p\u00e9riode annuelle ou le client obtiendra une autre forme de compensation. Pour cela, il peut-\u00eatre demand\u00e9 au client de pr\u00e9senter une facture \u00e0 l'intervenant (en guise d'avoir) sur une partie de sa facture. En cas d'indisponibilit\u00e9 prolong\u00e9e, aucune autre compensation financi\u00e8re o\u00f9 aucune autre forme de d\u00e9dommagement ne pourra \u00eatre r\u00e9clam\u00e9e \u00e0 l'Intervenant, et ce, peu importe le pr\u00e9judice que l'arr\u00eat du service aurait pu engendrer. En outre, le client doit conserver localement des sauvegardes r\u00e9centes de son site Internet et ses donn\u00e9es. Ces sauvegardes peuvent \u00eatre obtenues \u00e0 tout moment sur simple demande \u00e0 l\u2019Intervenant. \r\nEnfin, en cas de perte de donn\u00e9es ou de site crash\u00e9, le Client doit imm\u00e9diatement en informer l'Intervenant. L'Intervenant ne pourra en aucun cas rapatrier des donn\u00e9es datant de plus de 7 jours. \r\n \r\nArticle 19-2 - Garanties concernant les donn\u00e9es informatiques\r\n \r\nL'Intervenant se tient \u00e0 la disposition du client pour fournir une copie des donn\u00e9es informatiques constituant le capital du Client chez son Intervenant. Malgr\u00e9 la mise en place de moyens techniques tels que le choix de fournisseurs disposant de backups avec r\u00e9tention, l'Intervenant d\u00e9cline toute responsabilit\u00e9 en cas de perte de donn\u00e9es pour toute cause : panne du mat\u00e9riel informatique stockant et h\u00e9bergeant, bug informatique, fausse manipulation humaine, d\u00e9faillance du syst\u00e8me de sauvegarde, etc. \r\nL\u2019Intervenant \u00e9tant disponible pour livrer au Client sur simple demande une copie de sauvegarde r\u00e9cente du site du Client, malgr\u00e9 l'effort fourni en mati\u00e8re de fiabilit\u00e9 des espaces d'h\u00e9bergement et des serveurs infog\u00e9r\u00e9s par les fournisseurs de l'Intervenant, aucune garantie concernant la p\u00e9rennit\u00e9 des donn\u00e9es stock\u00e9es n'est fournie. \r\n \r\nArticle 20 - INTERRUPTION D'OFFRE \r\n \r\nArticle 20-1 - Arr\u00eat, interruption et rupture de stock de produits et services\r\n \r\nL'intervenant se r\u00e9serve le droit de modifier ou d\u2019arr\u00eater de proposer certains services ou produits ainsi que de d\u00e9m\u00e9nager son activit\u00e9 \u00e0 l'international ou cesser son activit\u00e9 pour quelque raison que ce soit.\r\nLes produits propos\u00e9s et livr\u00e9s correspondent aux descriptifs du site de l'intervenant, ainsi que ceux faits par e-mail, et peuvent \u00eatre en rupture de stock temporaire, modifi\u00e9s, ou stopp\u00e9s. \r\n \r\nArticle 20-2 - Refus de mission\r\n \r\nL'intervenant se r\u00e9serve le droit de ne pas accepter une mission sans avoir \u00e0 en justifier la raison. \r\n \r\nArticle 21 - PROPRI\u00c9T\u00c9 DE NOM DE DOMAINE\r\n \r\nLe Client est libre de g\u00e9rer techniquement son nom de domaine par lui-m\u00eame et sur simple demande \u00e0 l'Intervenant. Malgr\u00e9 cela, l'intervenant se tient \u00e0 la disposition du client pour l'enregistrement de noms de domaine, il choisit pour lui le Registar et sert d'interm\u00e9diaire (contact technique). Les noms de domaine enregistr\u00e9s par l'intervenant pour le client sont enregistr\u00e9s avec le nom et la raison sociale du client dans le champ \u00ab Propri\u00e9taire \u00bb.
